Affiliate Agreement

This Affiliate Agreement (“Agreement”) governs your application for, and any subsequent participation in, Nova Capital’s Affiliate program. By clicking “I Accept the Terms and Conditions” and submitting, you accept the terms of this Agreement, indicate that you have read and understood it, and agree to be bound by its terms.

Parties

All references to “Nova Capital” herein refer to Nova Capital, doing business as Nova Capital. All references to “You” and “Your” refer to the person or entity who has executed this Agreement by clicking “I Accept the Terms and Conditions” and submitting. Nova Capital and You are referred to herein as a “Party,” and collectively as the “Parties.”

Application

You agree to provide all requested information in connection with your Affiliate application and affirm that all information you provide is truthful and accurate. You understand that Nova Capital has sole discretion in determining whether you qualify for participation in the Affiliate program. Not everyone who applies will qualify.

Consent to Be Contacted

You consent to be contacted at the email address and phone number provided in your application about your application and the Affiliate program, including through automated dialing systems, texts, and pre-recorded messages. This consent may not be revoked except in writing by both parties.

Compensation

If your application is approved, you will receive a unique Affiliate ID. The Affiliate ID will be included in each URL used to advertise Nova Capital. You may receive a commission for each sale registered using your Affiliate ID. Commissions and Legacy Bonuses are paid in U.S. Dollars (USD) or other currencies offered by the payment provider, with possible processing fees deducted. Affiliates cannot open accounts under fictitious names or pay for another person’s account to obtain commissions. Commissions are only paid for transactions where payment is received by Nova Capital. If a sold account results in a refund or chargeback, the commission will be deducted from future payments. Nova Capital may terminate the Agreement if it determines a sale was fraudulent or violated this Agreement.

Additional Representations and Warranties

You represent that there are no prior or pending government investigations, inquiries, or lawsuits against you related to consumer protection or advertising laws. If such an issue arises, you must notify Nova Capital within 24 hours. Nova Capital may terminate your participation immediately upon such notification.

Entire Agreement

This Agreement, along with Nova Capital’s standard Terms of Use, represents the entire agreement between the Parties and supersedes any other agreements relating to your Affiliate application and participation.

Advertising Rules

• Compliance: Affiliates must comply with all applicable laws and avoid deceptive advertising.
• Disclosure: Affiliates must include a disclaimer on any website where Nova Capital services are advertised, stating they are an independent affiliate.
• Non-Disparagement: Affiliates must not disparage Nova Capital or its competitors.
• Income Claims: Affiliates cannot claim guaranteed profits or present Nova Capital as a business opportunity.

Independent Contractor

Affiliates are independent contractors and not employees of Nova Capital. This Agreement does not create a master-servant or principal-agent relationship.

No Warranty; No Leads

Nova Capital does not guarantee business success, income, or sales. Affiliates are responsible for obtaining and paying for necessary materials and resources.

Limitation of Liability

Nova Capital’s liability is limited to the amount of commissions paid to you in the six months preceding the claim, or $2,000, whichever is greater. Special, indirect, or consequential damages are waived.

Dispute Resolution

Disputes unresolved through negotiation within 120 days will be settled by binding arbitration under the UK Arbitration Association. The dispute resolution terms in Nova Capital’s Terms of Use apply.

Indemnity

You agree to indemnify Nova Capital from claims, demands, or causes of action arising out of your conduct under this Agreement, including breaches.

Term and Termination

Your participation continues monthly until canceled by either Nova Capital for breach or by you with 30 days’ written notice.

Severability

If any provision of this Agreement conflicts with applicable law, it will be modified to comply with the law, and the Agreement will remain in full effect.

Modification/Amendments

Nova Capital may modify this Agreement or its Terms of Use at any time. Amendments will be binding when posted or emailed to you. Continued acceptance of commission payments constitutes acceptance of modifications.
